These Terms govern your use of Nexpense, provided by NexClass Luxembourg S.à r.l. By registering an association or using the service, you agree to these Terms.
1. Provider

2. Service
Nexpense is a cloud software platform for associations to manage members, accounting, communications, calendars, and related workflows. Features and limits may depend on your selected plan. New associations receive a 7-day Starter trial; after the trial, unpaid accounts become read-only until NexClass confirms payment and activates the subscription. We may update the service; material changes will be communicated where appropriate.
3. Accounts and eligibility
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your association account and for ensuring that staff and members you invite comply with these Terms and applicable law.
4. Association data
Your association retains ownership of data you enter. You grant us the rights necessary to host, back up, and process that data to provide the service. You are responsible for having a lawful basis to process personal data about your members and staff.
5. Acceptable use
You agree not to:
- Use Nexpense for unlawful, harmful, or fraudulent purposes.
- Attempt to access other tenants’ data or compromise platform security.
- Send unsolicited bulk email except through the broadcast features to your own members in compliance with applicable law.
- Upload malware or interfere with service availability.
6. Fees
Paid plans, if applicable, are billed as described on the marketing site or in your order. Prices may exclude VAT unless stated otherwise. Failure to pay may result in suspension or termination.
7. Availability and warranties
The service is provided on an “as is” and “as available” basis. We use reasonable efforts to maintain availability but do not guarantee uninterrupted operation. Statutory rights that cannot be waived remain unaffected.
8. Limitation of liability
To the extent permitted by law, our aggregate liability arising from these Terms is limited to the fees paid by your association for Nexpense in the twelve months before the claim. We are not liable for indirect or consequential damages, lost profits, or data loss except where mandatory law provides otherwise.
9. Termination
You may stop using the service at any time. We may suspend or terminate access for material breach, non-payment, or legal requirements. Upon termination we will handle association data as described in our Privacy policy and applicable agreements.
10. Governing law
These Terms are governed by the laws of Luxembourg. Courts in Luxembourg City have exclusive jurisdiction, subject to mandatory consumer protections where applicable.
